Terms of Use

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Vosy LLC ("Vosy," "we," "us," or "our"), governing your access to and use of the Vosy AI platform, including all related services, APIs, and documentation (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to create an account and use the Service. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

You must provide accurate, complete, and current information when creating your account.
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately at contact@vosy.ai if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that contain false or misleading information.

3. Service Description

Vosy AI is a platform that enables you to create, configure, and deploy AI-powered voice agents for inbound and outbound telephone calls. The Service includes:

AI voice agent creation and configuration
Outbound calling campaigns
Inbound call handling
Real-time speech-to-text transcription
AI-driven conversation management
Text-to-speech voice synthesis
Call analytics, recordings, and data extraction
API access for programmatic integration

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You are solely responsible for the content, configuration, and behavior of your AI voice agents.

4.1 You Must:

Comply with all applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), and state telemarketing laws
Obtain all required consents before making outbound calls, including prior express written consent where required by the TCPA
Honor Do Not Call (DNC) registries and maintain your own internal DNC list
Disclose that the caller is an AI agent when required by applicable law or regulation
Comply with all applicable call recording consent laws (one-party or two-party consent, depending on jurisdiction)

4.2 Prohibited Uses

You may not use the Service to:

Spam or robocall: Make unsolicited bulk calls, automated calls without proper consent, or calls that violate the TCPA or any other applicable law
Impersonate: Impersonate any real person, government agency, law enforcement entity, or organization without authorization
Commit fraud: Engage in scams, phishing, social engineering, deceptive practices, or any form of fraud
Harass or threaten: Make threatening, abusive, harassing, or intimidating calls
Discriminate: Use the Service in a way that discriminates based on race, color, religion, sex, national origin, disability, age, or any other protected characteristic
Call emergency services: Place calls to 911, emergency services, or crisis hotlines
Violate DNC registries: Call numbers on the National Do Not Call Registry or any state DNC list without a valid exemption
Conduct unauthorized surveillance: Record calls without proper consent or use the Service for illegal wiretapping or eavesdropping
Collect debts illegally: Use the Service for debt collection without proper licensing and compliance with the Fair Debt Collection Practices Act (FDCPA)
Distribute malware: Use the Service to distribute malicious software or interfere with other systems
Reverse engineer: Attempt to reverse engineer, decompile, or extract source code from the Service
Resell without authorization: Resell, sublicense, or redistribute the Service without our prior written consent
Generate illegal content: Use AI agents to generate content that is illegal, harmful, or violates third-party rights

5. TCPA Compliance

Important: The Telephone Consumer Protection Act (TCPA) imposes significant restrictions on automated and prerecorded calls. Violations can result in penalties of $500 to $1,500 per call.

As a user of the Service, you are solely responsible for TCPA compliance. This includes, but is not limited to:

Obtaining prior express written consent before making telemarketing calls or sending marketing messages via the Service
Obtaining prior express consent before making non-telemarketing automated calls
Maintaining records of consent for each contact
Providing an opt-out mechanism and honoring opt-out requests promptly
Restricting calling hours to 8:00 AM to 9:00 PM in the recipient's local time zone
Identifying yourself and the purpose of the call at the beginning of each call

Vosy provides the technology platform but does not verify that your use complies with TCPA or any other law. You are fully liable for how you use the Service.

6. AI Disclosure

Several jurisdictions require disclosure that a call recipient is speaking with an artificial intelligence system. You are responsible for configuring your AI agents to comply with all applicable AI disclosure requirements, including but not limited to:

California's Bolstering Online Transparency (BOT) Act
FTC rules regarding deceptive practices
Any state or local AI disclosure requirements

We recommend that all AI agents identify themselves as AI at the beginning of each call.

7. Usage Limits

Your use of the Service is subject to the usage limits associated with your subscription plan. These limits may include, but are not limited to:

Number of voice agents
Outbound calls per month
Call minutes per month
Contact uploads per campaign
API requests per minute
Storage for recordings and data

If you exceed your plan's limits, we may throttle, suspend, or restrict your access to the Service until the next billing cycle or until you upgrade your plan. We reserve the right to modify usage limits with 30 days' notice.

8. Billing and Payment

Certain features of the Service require a paid subscription. By subscribing to a paid plan:

You authorize us to charge your payment method on a recurring basis
Subscriptions automatically renew unless you cancel before the renewal date
Prices are subject to change with 30 days' notice
Refunds are provided at our sole discretion
You are responsible for all applicable taxes

Failure to pay may result in suspension or termination of your account.

9. Intellectual Property

9.1 Our Property

The Service, including its software, design, documentation, trademarks, and all related intellectual property, is owned by Vosy LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

9.2 Your Content

You retain ownership of the content you create, upload, or generate through the Service (agent configurations, prompts, contact lists, recordings, etc.). By using the Service, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without obligation to you.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

You acknowledge that voice call data is processed by third-party service providers (including Telnyx, Deepgram, Cartesia, and LLM providers) as necessary to deliver the Service. See our Privacy Policy for the full list of sub-processors.

11. Termination

11.1 By You

You may terminate your account at any time by contacting us at contact@vosy.ai. Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.

11.2 By Us

We may suspend or terminate your account immediately, without prior notice, if:

You violate these Terms or our Acceptable Use Policy
Your use of the Service poses a security risk or could harm other users
We are required to do so by law
Your account has been inactive for an extended period
You fail to pay applicable fees

Upon termination for cause, you will not be entitled to a refund of any prepaid fees.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, error-free, or secure
AI-generated responses will be accurate, appropriate, or suitable for any particular purpose
Call quality, transcription accuracy, or voice synthesis will meet your specific requirements
The Service will comply with laws applicable to your specific use case — compliance is your responsibility

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOSY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Vosy LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any law or regulation, including TCPA, TSR, or state telemarketing laws
Your AI agent configurations and the calls made through the Service
Any claim by a third party related to calls made using your account

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or sending you an email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.

17. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Vosy LLC regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
